1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of bizyfi.com and its related pages, tools, calculators, guides, Financing Map, Apply flow, and the BizyFi Directory (together, the "Platform"). The Platform is operated by Fusion Network ("Fusion Network," "BizyFi," "we," "us," or "our"). By accessing or using any part of the Platform, you agree to these Terms. If you are using the Platform on behalf of a business, you agree to these Terms on its behalf and confirm you are authorized to do so. If you do not agree, do not use the Platform.
2. Eligibility and business use
You must be at least 18 years old and able to form a binding contract to use the Platform. The Platform is designed for businesses and the people who represent them, and for commercial (not personal, family, or household) financing.
3. What BizyFi is — and isn't
BizyFi is the borrower intake platform of Fusion Network, an independent commercial debt advisory firm. We are not a lender, we do not make credit decisions, and we do not guarantee that you will receive any financing offer, approval, or particular terms. Any financing is subject to the lender's own credit approval, underwriting, and documentation, and is between you and that lender.
Compensation. Fusion Network may be compensated by borrowers, by lenders or other financing providers, or both, in connection with financing it helps arrange. Any fee you would owe us will be set out in a separate written agreement that you sign before it is payable. Using the Platform's free tools and submitting an Apply request does not by itself obligate you to pay us anything.
4. Information you submit and how it is shared
When you submit information through the Apply flow or otherwise contact us, you confirm it is accurate and that you have the right to provide it. You authorize Fusion Network to use that information to evaluate your request and to share it with lenders and other financing providers we reasonably believe may be able to help, so they can review it and respond. You agree that we and those financing providers may contact you by email or telephone about your request. We do not sell the information you submit through the Apply flow as a list.
Lenders and financing providers that receive your information handle it under their own policies and legal obligations. If you proceed with a lender, it may request additional information, verify what you provided, and, with your separate authorization, obtain credit reports.
5. Calculators, guides, map, and glossary
The calculators are educational, self-serve tools. Calculations run in your browser, and the figures you enter are not sent to us unless you separately submit them through the Apply flow. Results are estimates only — not a pre-qualification, an offer, or a commitment to lend. The guides, glossary, and Financing Map are general information compiled from public sources; they may be incomplete or out of date and are not financial, legal, tax, accounting, or investment advice. Consult your own advisors before making financing or business decisions.
6. The BizyFi Directory
What it is. The BizyFi Directory lists U.S. companies that may be prospective borrowers. Listings are compiled from public records (for example, filings with the U.S. Securities and Exchange Commission), companies' own websites, and Fusion Network's own research. A listing does not mean the company is a customer of, affiliated with, or endorsed by Fusion Network or BizyFi, that it is seeking financing, or that it asked to be listed. A reference to an SEC filing reports only that the filing is on public record; it is not an offer of, or a solicitation to buy, any security.
What you can see. Anyone can browse the Directory for free and see a listing's state and industry. Company names, city and street address, ZIP code, website, and summaries of public SEC filings are available only to signed-in viewer account holders who have accepted these Terms.
Accuracy. Directory information is compiled, and sometimes classified or estimated, from the sources above. It may be incomplete, out of date, or wrong. Verify anything that matters to you independently before relying on it.
How you may use Directory information. You may use Directory information for your own internal business purposes. You may not use it (a) to decide any individual's eligibility for credit, insurance, employment, housing, or any other purpose covered by the Fair Credit Reporting Act or similar laws — the Directory is not a consumer report and we are not a consumer reporting agency; (b) to send unsolicited communications in violation of applicable law, including anti-spam and telemarketing laws; or (c) to compile, resell, or redistribute a database or dataset of listings.
Corrections and removal. If you represent a listed company and want a listing corrected or removed, or if you believe a listing is inaccurate or should not appear, email [email protected] with the listing's web address. We may ask you to verify your connection to the company. We review requests in good faith and may correct, remove, or keep a listing based on that review. Submitting a knowingly false request violates these Terms.
7. Viewer accounts
A Directory viewer account is free and is created with your email address; you sign in using a one-time link sent to that address, not a password. You are responsible for keeping control of that email account and for activity under your viewer account. Tell us promptly at the contact address below if you believe your account has been used without your permission. If we ever offer paid features, we will present their price and terms before charging you anything.
8. Acceptable use
You agree not to:
- scrape, crawl, or bulk-download the Platform or the Directory, or access the Platform by automated means, except for search-engine indexing of public pages that follows our robots.txt, or with our prior written consent;
- share your viewer account or sign-in links with others, or use the Platform to build a competing product or dataset;
- impersonate any person or business, or misrepresent your authority or affiliation;
- submit information that is false or misleading, or that you do not have the right to share;
- probe, scan, or test the security of the Platform, or interfere with or disrupt its operation, without our prior written authorization;
- reverse engineer the Platform, except where applicable law prohibits this restriction; or
- use the Platform for any unlawful, fraudulent, or harmful purpose.
9. Our rights in the Platform
The Platform — including its software, design, text, calculators, guides, and the Directory as a compiled collection — is owned by Fusion Network or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable permission to use the Platform in line with these Terms. All other rights are reserved. If you send us feedback or suggestions, we may use them without obligation to you.
10. Privacy
We collect and use personal information as described in our Privacy Policy. To ask about the personal information we hold about you, or to request access, correction, or deletion (including rights you may have under California law), contact us at the address below.
11. Third-party sites and services
The Platform may link to or rely on websites, data sources, and services we do not control, including lenders and public data sources. We are not responsible for their content, accuracy, or practices, and your use of them is subject to their own terms.
12. Disclaimers
THE PLATFORM, INCLUDING THE DIRECTORY, CALCULATORS, GUIDES, AND FINANCING MAP, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT. NOTHING ON THE PLATFORM IS FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE, AND USING THE PLATFORM DOES NOT GUARANTEE FINANCING OR ANY PARTICULAR TERMS.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FUSION NETWORK AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FINANCING OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT CHANGE THE TERMS OF ANY SEPARATE SIGNED ENGAGEMENT AGREEMENT BETWEEN YOU AND FUSION NETWORK.
14. Indemnification
You agree to indemnify and hold harmless Fusion Network and its owners, officers, employees, and agents from any third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Platform or Directory information, or information you submit that you did not have the right to provide.
15. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Fusion Network agree that any such dispute will be brought exclusively in the state or federal courts located in the State of California, and each of us consents to the personal jurisdiction of those courts. Either party may bring an individual claim in small-claims court where it qualifies, and either party may seek injunctive relief in any court of competent jurisdiction to stop unauthorized use of the Platform or infringement of intellectual property rights.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a new effective date and version number. Changes apply from the date posted; if you keep using the Platform after that, you accept the updated Terms. If a change is material, we may ask viewer account holders to accept the new version before continuing to use signed-in features.
17. Suspension and termination
We may suspend or end your access to all or part of the Platform, or change or discontinue any part of it, at any time, including if we reasonably believe you have violated these Terms. You may stop using the Platform at any time and may ask us to delete your viewer account by contacting us. Sections 4, 6 (how you may use Directory information), 8, 9, and 12 through 18 survive termination.
18. General
These Terms are the entire agreement between you and Fusion Network about the Platform and replace any earlier agreements on that subject; a separate signed engagement or fee agreement governs the services it covers. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. You agree that we may provide notices and other communications to you electronically, including by email or by posting on the Platform.
